General Terms of Use

Before using any service or content offered through the Woocar mobile application (hereinafter referred to as the "Application" or the "Platform" interchangeably), these terms and conditions (hereinafter the "Terms and Conditions") must be read in full and carefully. Their purpose is to establish the general conditions of use for the Application, owned by Woolabs S.A. (hereinafter the "Company").

Downloading and using the Application confers the status of user (hereinafter the "User") and implies having read, understood, and accepted the Terms and Conditions.

Users affirm that they are fully capable and competent to accept and comply with the Terms and Conditions and to enter into legally binding agreements under applicable law. Users who do not agree with these conditions must refrain from using the Application.

Use of the Application

The User acknowledges and agrees that the use of the content and/or services offered through the Application is at their sole risk and/or responsibility. The User agrees to use the Application and all of its content in accordance with the law, morality, public order, and the present Terms and Conditions. Likewise, the User agrees to make proper use of the services and/or content of the Application and not to use them for unlawful or criminal activities, activities that infringe upon third-party rights and/or that violate intellectual or industrial property regulations, or any other applicable legal provisions.

In particular, the User agrees not to transmit, introduce, disseminate, or make available to third parties any type of material or information that is contrary to the law, morality, public order, and/or the present Terms and Conditions.

The User understands and acknowledges that communications, notices, regulations, instructions, policies, and/or messages of any kind published by the Company through the Platform also form part of the Terms and Conditions and must be respected by Users.

Should a User detect anything they consider objectionable and/or in violation of these Terms and Conditions, they may report it by sending a message to "[email protected]" with the subject line "COMPLAINTS".

The Application

Woocar is a platform that allows the monitoring and measurement of Users' driving habits.

The Application's direct User is the driver, who may self-assess and improve their driving skills. Better driving skills are associated with more efficient fuel consumption and a reduction in costs related to vehicle maintenance.

The Application allows, through the creation of a User account (hereinafter "Fleet Manager User"), the monitoring and measurement of driving habits of third parties who link their User accounts to it.

Scoring

Through the Application, various driving parameters of the User are analysed and an overall score is assigned (hereinafter the "Score").

The Score is made up of the following categories:

  • Skill: driving capability (detects, for example, harsh accelerations and braking).
  • Caution: ability to comply with road safety regulations.
  • Attention: measures distractions while driving, such as using a smartphone behind the wheel.
  • Eco: efficient driving.
  • Distance: distance travelled.

Registration and User Account

In order to use the Application, Users must create a user account by completing the following basic information: username, first name, last name, email address, and phone number.

Alternatively, the User may log in directly through their Facebook, Microsoft Azure Sign-in, or Google+ account. The User understands and agrees that in this case the Company will require access to certain profile data from said account, and expressly authorises such access.

The User is solely responsible for keeping their personal information up to date, which they declare to be accurate, precise, and truthful. Notwithstanding the foregoing, the Company reserves the right to verify, by itself or through third parties, the accuracy and truthfulness of the personal information provided.

Users agree not to disclose or share their username and/or password with anyone. The User also agrees to immediately notify the Company of any unauthorised use of their password, username, or any other security breach they become aware of.

Users are responsible for all activities that occur in or through their account, and must be liable for any damage that the use of their account by unauthorised third parties may cause to the Company or any third party. The Company shall not be liable for any loss or damage arising from the User's failure to comply with any of these obligations.

The User may terminate their relationship with the Company and deactivate their account within the Application at any time. To this end, if the User has linked their account to a Fleet Manager User account, they may request deactivation from the Fleet Manager or, failing that, formally request the deactivation of their user account from the Company via email at "[email protected]".

The User understands that the Company may reject a registration request, temporarily or indefinitely cancel, suspend, and/or deactivate their user account in the event of non-compliance with or violations of these Terms and Conditions, upon requests from legal or governmental authorities, and/or at the sole discretion of the Company.

The User may register independently or link their User account to a Fleet Manager User account, which shall have the authority to (i) authorise such linkage, (ii) manage the accounts of linked Users, and (iii) access all Personal Data of linked Users as well as all activity within the Application by linked Users.

Other Benefits of the Application

By understanding Users' driving habits and preferences, the Company is well-positioned to offer them options for their next vehicle. The Company may recommend vehicles with specific features to the User, based on their usage patterns.

Additionally, through the Application, the User will have access to their historical driving score, with the option to publish it when selling their vehicles and thus provide transparent information to potential buyers.

Furthermore, given that the Application aims to improve Users' driving skills and promote conscious driving practices, society as a whole benefits. The positive externality for society is based on the fact that better driving by Users leads to fewer accidents related to driver negligence, and the efficient use of vehicles has a positive impact on reducing environmental pollution.

Comments

The Platform will feature a comments section through which Users may leave messages that can be viewed by other Users, and also view and read messages posted by other Users.

The Company is not responsible for the information and/or content submitted by Users in the comments section; each User is solely responsible for the comments, messages, and/or content they post on the Platform.

The User understands and accepts that any information (including personal data, as defined under the "Privacy" section of this document) that they publish in the comments section may be viewed by other Users and/or third parties, and expressly authorises the Company to display it on the Platform.

The Company reserves the right to fully or partially remove a comment posted by a User if deemed offensive or in violation of the present Terms and Conditions, without requiring the consent of or prior notification to the author of the comment.

If any User is affected by a comment or information posted by another User, they may request its removal via email at "[email protected]".

User Content

Users may share their experience and certain Platform content through social media (including but not limited to Facebook, Twitter, Tumblr, Snapchat, Instagram, YouTube, and others) where they hold accounts.

Users also consent to the Company sharing certain User content through its social media accounts and/or its own channels (or channels associated with the Company) for the purpose of promoting the Application, its features, characteristics, and benefits.

In any event, it is expressly stated that the social media and/or channels used in the aforementioned manner do not sponsor, endorse, or are associated with the Company and/or the Application. The operation and availability of content published and/or shared through these platforms will depend on each platform's own terms, and the Company is not responsible for their availability, quality, frequency, functionality, accessibility, and/or any other characteristic thereof.

Platform Usage Costs

Downloading and using the Platform by the User is free of charge.

The fee for using the Platform and maintaining the Fleet Manager User account shall be governed by those previously communicated by the Company to the Fleet Manager User.

Privacy

The use of the Application entails the collection and processing by the Company of certain personal data, which shall at all times be handled in accordance with Argentine Personal Data Protection Law No. 25,326, its Regulatory Decree 1558/2001, and other regulations issued by the National Directorate for Personal Data Protection.

For the purposes of these Terms and Conditions, "Personal Data" means any information relating to Users that allows their identification, whether directly or indirectly.

In addition to the registration data (indicated under the "Registration and User Account" section), the following Personal Data is collected through the Application: driving habits, geolocation, vehicle make and model, car insurance and insurance company, driving scores, trips taken, distances travelled, mobile device ID, and incoming call information.

Users expressly consent to their Personal Data being collected, stored, accessed, and shared by the Company as described in these Terms and Conditions.

The Company shall process Personal Data for the purposes of (i) enabling the User to use the Application; (ii) calculating the Score — as detailed in these Terms and Conditions; (iii) sending reports indicating the User's Score and describing the User's driving habits, including speeding, trip duration, phone use while driving, among other variables; and (iv) analysing trends, behaviour, driving patterns, and User interests for statistical purposes and to improve and enhance the Application's features. The Company may also send information or messages by email to Users about the Application and/or communicate, advertise, or offer products and/or services marketed or offered by the Company, its affiliates, subsidiaries, or associates, and/or third parties with whom the Company maintains business relationships. However, the User may at any time opt out of receiving such communications.

Personal Data collected by the Company through the Application shall be stored in a database owned by the Company and duly registered with the Agency for Access to Public Information.

The Company shall adopt the security and information preservation measures required by applicable regulations (including those contained in Resolution 47/2018 issued by the Agency for Access to Public Information) to ensure an adequate level of privacy and confidentiality of User data.

Users understand that if their User account is associated with a Fleet Manager User, their Personal Data and all account activity may be accessed by the Fleet Manager User.

Users may only use such information in accordance with the purpose for which it was collected as described in this document and/or for any other purpose to which the respective User expressly consents after having been provided with the legally required information.

Users may not disclose personal data of another User to any third party without the consent of the Company and the User who owns such data.

Users also consent to their Personal Data being shared with third parties as detailed in these Terms and Conditions, to the extent necessary for the development or fulfilment of the services provided through the Application.

All information and personal data collected from the User shall be hosted on the Company's servers provided by Google LLC, located at 1600 Amphitheatre Pkwy, Mountain View, United States of America.

Users agree that the recipients of their Personal Data may be located abroad, including in countries that — pursuant to Provision 60-E/2016 of the National Directorate for Personal Data Protection — do not ensure adequate levels of protection, and Users expressly authorise the international transfer of their Personal Data to such countries, in accordance with Article 12 of Decree 1558/2001.

Personal Data may also be disclosed to third parties under the following circumstances: (i) when there is a legal obligation to do so, and (ii) by order of a competent judicial authority.

In compliance with Resolution 14/2018 of the Agency for Access to Public Information, Users are informed that "The AGENCY FOR ACCESS TO PUBLIC INFORMATION, in its capacity as the Supervisory Authority of Law No. 25,326, has the power to hear complaints and claims filed by those whose rights have been affected by non-compliance with current regulations on personal data protection."

To exercise their rights of access, update, rectification, and/or deletion, Users may send a registered letter or appear in person — having verified their identity — at the Company's address indicated in the "Contact" section below, call +541143294000, or send an email to "[email protected]".

Collaboration with Transport and Environmental Agencies

The Company collaborates with government entities, academic institutions, and road observatories, providing them with monthly reports and heat maps with geolocated driving indices: ECO score, attention score, pothole maps, live driving cycles, etc. This allows them to analyse the current situation, take measures to improve traffic flow, and evaluate gains using before-and-after indicators.

The reports mentioned in the preceding paragraph shall not contain personal data protected by applicable regulations.

Intellectual and/or Industrial Property

The User understands and accepts that the Platform and all of its content, including without limitation software, code, graphics, texts, images, structure, information, design, aesthetics, trademarks, logos, trade names, and/or any other distinctive signs, are the exclusive property of the Company (or, if any of their components are owned by third parties, the Company holds the necessary authorisations to use them) and are protected under intellectual and/or industrial property laws and/or any other applicable rights.

Through these Terms and Conditions, the User receives a limited, non-exclusive, non-transferable, and non-sublicensable licence to access and use the Platform and its content and materials for personal and non-commercial use. Under no circumstances may the User circumvent, disable, decompile, reverse-engineer, and/or disassemble the programs, systems, or devices used in the Platform, nor may the User download, reproduce, distribute, adapt, modify, remove identification notices, copyright notices, or other notices related to ownership and intellectual property, publicly communicate or perform, and/or in any way use the Platform's content beyond what is expressly provided in these Terms and Conditions.

Under no circumstances shall the downloading, accessing, and/or using of the Platform be interpreted as conferring upon the User any rights thereto, beyond those expressly provided in these Terms and Conditions.

Operation and Warranties

THE COMPANY DOES NOT WARRANT THAT THE APPLICATION WILL ALWAYS BE SECURE OR FREE FROM ERRORS, OR THAT IT WILL ALWAYS FUNCTION WITHOUT INTERRUPTIONS, DELAYS, OR IMPERFECTIONS.

The Company shall not be liable for any damage or loss arising directly or indirectly from the use of the Platform and the information contained therein.

The Company reserves the right to review, modify, improve, or discontinue the Platform and/or its features or operations when it deems appropriate and without prior notice to Users.

Access to the Platform may therefore be temporarily suspended without prior notice in the event of system failure, maintenance operations, review or repair, or for other reasons. The Company shall not be liable for any damage caused to the User as a result of the suspension or interruption of the Platform.

The Company is not obliged to provide maintenance or technical support services to Users.

The Platform may include hyperlinks to websites and/or applications that are not owned or controlled by the Company. The Company does not control the content, privacy policies, or terms and conditions of third-party websites/applications, nor does it assume any responsibility therefor.

The User understands and accepts that the Company may cease to provide the Platform and its Services at any time.

The User shall be responsible for having the necessary equipment to use the Application and access the Services, including without limitation a vehicle, mobile device, computer, and access to an internet connection and/or mobile data.

The Company shall not be liable for the User's inability to use the Application and/or access the Services, or for any deficient operation thereof, arising from the User's lack of the aforementioned equipment.

Liability

GIVEN THE INHERENT NATURE OF THE INTERNET AND COMPUTER SYSTEMS IN GENERAL, WHICH MAY BE VULNERABLE, AND WITHOUT PREJUDICE TO THE COMPANY'S BEST EFFORTS TO PREVENT SUCH OCCURRENCES, USERS UNDERSTAND AND ACCEPT THAT THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE FREE FROM DEFECTS, ERRORS, OR FLAWS, NOR THAT IT WILL BE FIT FOR ANY PARTICULAR PURPOSE, AND THE COMPANY ASSUMES NO LIABILITY WHATSOEVER IN THIS REGARD; THE USER USES THE PLATFORM AND ITS SERVICES AT THEIR OWN AND EXCLUSIVE RISK. THE COMPANY SHALL NOT BE LIABLE FOR ANY DAMAGE AND/OR LOSS ARISING DIRECTLY OR INDIRECTLY FROM THE USE OF THE PLATFORM.

The Company does not guarantee the availability of access or continuity of operation of the Platform and its services at all times, and shall therefore not be liable, under any circumstances, for any damage and/or loss caused to the User as a result of unavailability, access failures, and/or lack of continuity thereof.

The User also understands and accepts that the Application, its content, and the services may be subject to limitations, including but not limited to insufficient disk storage space and limits on the data transfer rate permitted on the Platform's programming interface, and the Company is not responsible for such limitations.

Downloading, accessing, and using the Platform on mobile devices, computers, or similar equipment does not imply an obligation on the part of the Company to monitor for the absence of viruses or any other harmful computer element. It is the User's responsibility to have adequate tools for the detection and removal of harmful computer programs.

Users shall hold the Company harmless from any claim arising from non-compliance with these Terms and Conditions and/or the improper use of the Application, User Personal Data, and/or any other information contained in the Application. In particular, the Fleet Manager User shall hold the Company harmless from any damage that may be caused to other Users, whether or not linked to their Fleet Manager User account, and/or to any third party, through their activity on the Application, the improper use thereof, and/or their non-compliance with these Terms and Conditions or any applicable regulations.

Modifications

The Company may, at any time and without prior notice, make changes and updates to these Terms and Conditions. These changes will be published on the Application and will become effective from the moment of their publication; Users must periodically review the Terms and Conditions. The continued use of the Application by the User following the publication of changes to the Terms and Conditions shall constitute full acceptance thereof. Any User who does not agree with the updates or modifications to the Terms and Conditions must refrain from using the Application.

The Company declares that the Application may in the future be managed and operated by a person or entity other than the current one, and that such transfer of management and operation of the Application shall not require formal notification or prior or subsequent consent from the User, who accepts this accordingly.

Notifications

The User must send any notification and/or communication addressed to the Company to the address Suipacha 961/3/5, Ground Floor, Office 5, Buenos Aires, Argentina, or to the email address "[email protected]".

Notifications sent by the Company to the User shall be deemed valid and effective for all purposes when made through any of the following means:

  • Postal mail to the User's address, when this has been previously made known.
  • Email to the address provided by the User upon registration or when submitting an enquiry through the Platform.
  • Telephone call to the phone number provided by the User upon registration or when submitting an enquiry through the Platform.

Jurisdiction and Applicable Law

All matters relating to the Terms and Conditions and the processing of personal information, as well as all matters arising from or relating in whole or in part to the services provided through the Platform, shall be governed in all respects by Argentine law, and shall be subject to the ordinary Courts and Tribunals seated in the City of Buenos Aires.
